PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY. BY ENROLLING IN, ACCESSING, USING, OR OTHERWISE PARTICIPATING IN THE CLUBHOUSE, YOU AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS. THEY INCLUDE TERMS THAT AFFECT YOUR LEGAL RIGHTS, INCLUDING THE DISPUTE RESOLUTION PROVISIONS INCORPORATED BY REFERENCE BELOW. IF YOU DO NOT AGREE, DO NOT PARTICIPATE IN THE CLUBHOUSE.

Quick translation: these are the house rules for The Clubhouse. We want this to be easy, fun, and fair. Please play nice, keep it real, and read the details below.

General Application of Terms; Privacy

These Terms and Conditions (the “Clubhouse Terms”) apply to your access to and participation in The Clubhouse, a community space offered by Gooder Foods, Inc. (“Goodles,” “we,” “us,” or “our”). The Clubhouse is not a loyalty program, rewards program, discount program, or points-redemption program. Club Points are simply a way to recognize participation and fandom within The Clubhouse.

Your participation in The Clubhouse is also subject to Goodles’ online Terms of Use located at https://www.goodles.com/terms (“Goodles Terms of Use”), and other terms, policies, FAQs, guidelines, or disclosures that we make available from time to time and that apply to our websites, products, promotions, or services. If there is a direct conflict between these Clubhouse Terms and another Goodles policy, these Clubhouse Terms will control only with respect to The Clubhouse, unless the other policy expressly says otherwise.

Information collected in connection with The Clubhouse is governed by the Goodles Privacy Policy, available at https://www.goodles.com/privacy-policy/ (“Privacy Policy”) and incorporated by reference into these Clubhouse Terms. Please review the Privacy Policy carefully. It explains, among other things, how Goodles collects, uses, discloses, and protects personal information; how you may access, update, or delete certain account information; how you may opt out of certain marketing communications; and other privacy rights where required by law. By participating in The Clubhouse, you acknowledge the privacy practices described in the Privacy Policy.

Eligibility

The Clubhouse is open to legal residents of the fifty (50) United States and the District of Columbia who are at least eighteen (18) years old, unless we specify a different eligibility requirement for a particular Mission, activity, promotion, or feature. Void where prohibited by law. We may request proof of eligibility at any time.

The Clubhouse is intended for personal, non-commercial use only. Businesses, resellers, purchasing agents, groups, clubs, and other organizations are not eligible to participate unless we expressly allow it in writing.

How The Clubhouse Works

The Clubhouse is a community space to connect with Goodles and show your love for the brand. It is not a loyalty program, and there is nothing to buy or redeem.

Members collect points by completing Missions and taking part in Clubhouse activities
(“Club Points”). Club Points are one way to show how involved a member is, a signal of participation and fandom, not a balance or a currency, and they cannot be redeemed for anything. No purchase is ever required, and purchases do not earn Club Points.

We are keeping the Clubhouse recipe flexible. The Missions and activities available, and the number of Club Points tied to each, may change over time. We may display a member’s Club Points, badges, levels, or similar participation signals to celebrate how deeply they show up, and we may use participation information to better understand our community, including to group or segment members based on engagement. All Club Points, Missions, and activities are subject to verification and these Clubhouse Terms.

How to Join

To join The Clubhouse, follow the instructions made available on goodles.com, within your Goodles account, through the Clubhouse dashboard, or through other Clubhouse communications. Enrollment may require you to create or log in to an account and provide information such as your name, email address, password, birthday, shipping address, phone number, marketing preferences, or other information requested by us.

You are responsible for providing true, accurate, current, and complete information and for keeping your account information up to date. You may have only one Clubhouse account. We may suspend, cancel, or combine accounts that appear to be duplicative, inaccurate, created using automated means, or otherwise inconsistent with these Clubhouse Terms.

Communications

We may send you transactional and Clubhouse-related communications about your Clubhouse account, Club Points, Missions, badges, levels, changes to these Clubhouse Terms, or other Clubhouse updates. You may also have the option to sign up for marketing emails or text messages. Consent to marketing communications is not required to join The Clubhouse or purchase any Goodles product.

If you opt in to text messages, you agree that Goodles or its service providers may send you text messages, including by automated technology, as permitted by law. Message and data rates may apply. You can opt out of marketing emails by using the unsubscribe link in an email and opt out of marketing texts by replying STOP, as described in the Goodles Privacy Policy and applicable message terms. Even if you opt out of marketing communications, we may still send non-promotional account, transaction, legal, or Clubhouse messages.

Club Points

Club Points may be collected only after you enroll in The Clubhouse and only as described by Goodles in connection with the applicable Mission, activity, challenge, or Clubhouse feature. Purchases do not earn Club Points, and Club Points will not be awarded based on the amount you spend on Goodles products or anything else.

Club Points are participation signals only. They are not cash, gift cards, stored value, property, currency, credits, rewards, discounts, coupons, or prizes; have no cash, monetary, or redemption value; do not create any ownership or vested rights; and may not be sold, transferred, assigned, bartered, brokered, inherited, combined with another member’s Club Points, or redeemed for anything. Words like “collect,” “earn,” or “points” are used because they are easy ways to describe participation, not because Club Points have value.

We may also use Clubhouse activity and participation information internally to better understand the community, personalize Clubhouse experiences, and group or segment members based on engagement, subject to the Goodles Privacy Policy.

We may review, verify, adjust, reverse, delay, or void Club Points at any time if we believe Club Points were issued in error, obtained through fraud or abuse, associated with a violation of these Clubhouse Terms, generated by automated or unauthorized activity, or otherwise inconsistent with The Clubhouse. Our records control if there is a discrepancy between your displayed Club Points or badges and our internal records.

No Purchase; No Redemption

No purchase is required to join The Clubhouse, complete Missions, collect Club Points, or take part in Clubhouse activities, unless we expressly state that a separate promotion or activity involves a purchase and provide any required no-purchase method of participation where applicable. Buying Goodles products does not earn Club Points.

There is nothing to redeem in The Clubhouse. Club Points cannot be exchanged for discounts, products, samples, merchandise, experiences, early access, sweepstakes entries, cash, credit, or anything else. Goodles may choose to offer separate promotions, giveaways, sweepstakes, surprise-and-delight moments, or other opportunities from time to time, but those opportunities are separate from Club Points and will be subject to their own terms, eligibility requirements, and availability.

Tracking Your Account

You may be able to view your Club Points, badges, levels, Missions, activity history, and account information by logging into your account or Clubhouse dashboard. Club Points, badges, levels, and other participation signals may expire, reset, be hidden, or be changed as disclosed in connection with The Clubhouse or a particular Mission or activity. We may also close, suspend, or deactivate accounts with no qualifying activity for a period we determine and disclose or otherwise apply under applicable law.

Missions

From time to time, The Clubhouse may include “Missions,” which are voluntary activities that may allow members to collect Club Points, unlock badges or levels, or engage with Goodles in fun and noodle-adjacent ways. Missions may include actions such as answering prompts, watching content, completing quizzes, submitting photos or captions, sharing feedback, engaging with Goodles content, or other activities we make available.

Each Mission may have its own instructions, eligibility requirements, frequency limits, deadlines, review process, Club Points value, badge or level details, or additional terms. You must follow the Mission instructions to receive any associated Club Points. Mission submissions and completions are subject to review and verification by Goodles. We may accept, reject, delay, or void any Mission submission or completion in our sole discretion, including if it is incomplete, inaccurate, inappropriate, duplicative, generated by automated means, fraudulent, late, or inconsistent with these Clubhouse Terms.

Some Missions may involve third-party sites, platforms, products, or services. Goodles does not control third-party sites or services and is not responsible for their content, accuracy, availability, privacy practices, or terms. Your use of third-party services is subject to the applicable third party’s terms and policies.

Mission Submissions and Goodles Feed

Certain Missions or Clubhouse features may ask or allow you to submit, post, upload, send, or otherwise provide content, such as photos, videos, captions, comments, reviews, ideas, product names, flavor ideas, concepts, suggestions, feedback, jokes, stories, social posts, or other materials (collectively, “Submissions”). Some Submissions may be eligible to appear in a curated Goodles community gallery, feed, social channel, website area, or other Goodles marketing or digital space (collectively, the “Goodles Feed”).

Your Submission is voluntary. If a Mission requires a Submission to verify completion, we may use the Submission to review and validate the Mission and award any applicable Club Points, badge, or level. Separately, we may ask for permission to share your Submission publicly in the Goodles Feed or on other Goodles channels. If we ask for that permission, choosing not to allow public sharing will not affect your ability to collect Club Points for completing the Mission, unless we clearly state otherwise in the Mission terms.

The Goodles Feed is curated. There is no direct posting to the Goodles Feed, and members cannot publish content directly, comment on posted Submissions, or message other members through the Goodles Feed unless we expressly make those features available. We are not obligated to post any Submission. We may review, approve, reject, edit, remove, or stop using any Submission at any time, for any reason, including brand, safety, legal, moderation, or operational reasons.

By providing a Submission, you represent and warrant that:

·       you own or control all rights in the Submission or have all permissions necessary to submit it and allow the uses described in these Clubhouse Terms;

·       the Submission is original to you or you otherwise have the right to provide it;

·       any person appearing in the Submission has given permission to be included and for the Submission to be used as described in these Clubhouse Terms;

·       if any minor appears in the Submission, you are the minor’s parent or legal guardian, or have obtained express permission from the minor’s parent or legal guardian, to submit the content and allow Goodles to use it as described in these Clubhouse Terms, and you can provide written proof of that permission on request;

·       the Submission does not infringe, misappropriate, or violate any copyright, trademark, privacy, publicity, contractual, intellectual property, or other rights of any person or entity;

·       the Submission does not contain personal information you do not want shared, including addresses, license plates, financial information, private contact information, or other sensitive details; and

·       the Submission complies with these Clubhouse Terms and any content standards or Mission instructions we provide.

Submissions may not be sexually explicit or suggestive; profane; pornographic; violent; hateful; harassing; threatening; unsafe; illegal; discriminatory; derogatory of any ethnic, racial, gender, religious, age, disability, sexual orientation, or other protected group; misleading; defamatory; invasive of privacy; or otherwise inconsistent with Goodles’ brand or community standards. Submissions may not promote dangerous activities, vandalism, alcohol or drug misuse, weapons, tobacco, political campaigning, or unlawful conduct. Submissions should not include third-party trademarks, logos, copyrighted materials, music, artwork, or recognizable branded content unless you have permission or we expressly allow it.

If you voluntarily submit content and opt in to public use, or if the applicable Mission terms clearly state that public use is part of the activity, you grant Goodles and its affiliates, licensees, service providers, advertising and promotional agencies, and authorized designees a non-exclusive, royalty-free, fully paid, transferable, sublicensable, worldwide, perpetual license to use, reproduce, modify, adapt, edit, publish, translate, create derivative works from, distribute, publicly perform, publicly display, and otherwise exploit your Submission, in whole or in part, in connection with The Clubhouse, Goodles products, the Goodles Feed, social media, advertising, marketing, publicity, and other commercial or promotional purposes, in any media now known or later developed, without further notice, approval, attribution, or compensation, except where prohibited by law. If your Submission includes any other person, including a minor, you represent that you have obtained all permissions necessary for Goodles to use that person’s name, image, likeness, voice, and other identifiable attributes as part of the Submission in the ways described in these Clubhouse Terms.

Some Submissions may include ideas, suggestions, feedback, concepts, product names, flavor ideas, recipes, formulas, improvements, comments, or other creative or business suggestions, whether submitted as part of a Mission, in comments, through the Goodles Feed, through your Clubhouse account, or otherwise in connection with The Clubhouse (collectively, “Feedback”). You agree that Goodles will exclusively own all right, title, and interest in and to all Feedback, including all intellectual property and other rights therein, to the fullest extent permitted by law. To the extent any rights in Feedback do not automatically vest in Goodles, you hereby irrevocably assign to Goodles all such rights. Goodles may use, develop, modify, commercialize, advertise, promote, publish, reproduce, distribute, display, perform, create derivative works from, or otherwise exploit Feedback, in whole or in part, for any purpose, in any media, without notice, approval, attribution, payment, or other compensation to you or anyone else. You agree that Goodles may already be developing, may independently develop, or may receive from others ideas, products, names, flavors, concepts, recipes, formulas, improvements, or materials that are similar or identical to your Feedback, and you waive any claim arising from Goodles’ use, development, or commercialization of the same or similar Feedback or other materials.

Because The Clubhouse is intended for adults, only members who are at least eighteen (18) years old may submit content. If your Submission includes a minor, you represent and warrant that you are the minor’s parent or legal guardian, or that you have obtained express permission from the minor’s parent or legal guardian, to submit the content and to allow Goodles to use the Submission as described in these Clubhouse Terms. You are responsible for making sure the Submission is appropriate, does not disclose sensitive personal information about the minor, and does not place the minor in an unsafe, embarrassing, exploitative, or otherwise inappropriate context.

We may reject, remove, or stop using any Submission that includes a minor at any time and for any reason, including if we cannot verify appropriate permission or if we determine the Submission is inconsistent with our brand, community standards, safety expectations, or legal obligations. If you are a parent or legal guardian and want to request removal of a publicly posted Submission featuring your child, please contact us at clubhouse@goodles.com. We will review and respond to removal requests in accordance with our policies and applicable law, but removal may not be immediate or complete, including where the Submission has already been shared, copied, archived, or used by third parties.

You understand that Submissions may be viewed, copied, shared, or otherwise used by others if posted publicly. Goodles is not responsible for third-party use of publicly available Submissions. You may request removal of certain publicly posted content by contacting us, but removal may not be immediate or complete, and we may retain copies as permitted by law and our Privacy Policy.

Special Activities, Promotions, and Sweepstakes

We may offer limited-time Clubhouse activities, challenges, Missions, giveaways, sweepstakes, contests, surprise-and-delight opportunities, or other promotions in connection with The Clubhouse. These opportunities may be based on participation, random selection, eligibility criteria, or other factors we disclose, but Club Points themselves cannot be redeemed for them. Any such opportunities may be subject to additional terms, official rules, eligibility requirements, entry limits, deadlines, prize details, and disclosures. If there is a conflict between these Clubhouse Terms and the specific terms for a promotion, the specific promotion terms will control for that promotion.

Unless the applicable promotion terms say otherwise, no purchase is required to enter or win a sweepstakes, and a purchase will not increase your chances of winning. Sweepstakes and contests are void where prohibited and subject to all applicable laws.

No Funny Business

Please keep The Clubhouse human. You may not use bots, scripts, automated tools, fake accounts, unauthorized third-party services, or any other method designed to manipulate, exploit, or game The Clubhouse. You may not sell, transfer, trade, share, or misuse Club Points, badges, levels, accounts, Missions, or Clubhouse benefits. You may not use The Clubhouse for commercial purposes, resale, fraud, unlawful activity, or conduct that undermines the fairness, security, integrity, or intended operation of The Clubhouse.

We may suspend, investigate, deactivate, or terminate your account and void Club Points, badges, levels, or other participation signals if we determine, in our sole discretion, that you violated these Clubhouse Terms, engaged in fraud or abuse, created or controlled multiple accounts, provided false information, tampered with The Clubhouse, acted in a way that may harm Goodles or others, or otherwise used The Clubhouse in an unauthorized or unlawful manner. Our decisions regarding eligibility, Club Points, badges, levels, Missions, account status, and compliance with these Clubhouse Terms are final and binding, except as otherwise required by law.

Changes to The Clubhouse

Goodles may change, update, suspend, or discontinue The Clubhouse, any Clubhouse feature, any Club Points opportunity, any Mission, any badge, level, activity, participation signal, Clubhouse benefit, or these Clubhouse Terms at any time, with or without notice, in our sole discretion, except as required by law. This includes changes that may affect Club Points, badges, levels, Missions, activity history, eligibility rules, and Clubhouse structure.

If we update these Clubhouse Terms, we will update the “Last Updated” date above and post the revised terms or otherwise make them available. Your continued participation in The Clubhouse after changes become effective means you accept the revised terms. If you do not agree to the revised terms, you must stop participating in The Clubhouse.

Technical Issues and Events Outside Our Control

Goodles is not responsible for technical failures, errors, interruptions, delays, lost or misdirected communications, inaccurate Club Points calculations, unavailable Missions or features, unauthorized access, data loss, corrupted submissions, internet or mobile service issues, device or software problems, or other issues that may affect The Clubhouse. If The Clubhouse is not capable of running as planned for any reason, including technical errors, fraud, tampering, unauthorized intervention, bugs, viruses, acts of God, third-party actions, or other causes beyond our control, we may cancel, terminate, modify, suspend, or otherwise address The Clubhouse as we deem appropriate.

We may correct errors at any time, including errors in Club Points, badges, levels, Mission details, eligibility, or Clubhouse communications.

Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs through your account. Notify us promptly if you believe your account has been compromised or used without authorization. We may suspend or deactivate an account to protect you, Goodles, or The Clubhouse.

Indemnification

To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Goodles, its parents, subsidiaries, affiliates, divisions, officers, directors, employees, agents, service providers, advertising and promotional agencies, and partners from and against any claims, losses, liabilities, damages, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to your participation in The Clubhouse, your violation of these Clubhouse Terms, your Submissions, your misuse of Club Points, badges, levels, Missions, or Clubhouse features, or your violation of any law or third-party rights.

No Warranties; Limitation of Liability

THE CLUBHOUSE, CLUB POINTS, BADGES, LEVELS, MISSIONS, FEATURES, AND RELATED MATERIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT, EXCEPT TO THE EXTENT SUCH WARRANTIES CANNOT BE EXCLUDED UNDER APPLICABLE LAW.

TO THE FULLEST EXTENT PERMITTED BY LAW, GOODLES AND ITS PARENTS, SUBSIDIARIES, AFFILIATES, DIVISIONS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SERVICE PROVIDERS, ADVERTISING AND PROMOTIONAL AGENCIES, AND PARTNERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, CLUB POINTS, BADGES, LEVELS, PARTICIPATION SIGNALS, OR CLUBHOUSE BENEFITS, ARISING OUT OF OR RELATING TO THE CLUBHOUSE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME LIMITATIONS MAY NOT APPLY TO YOU.

Governing Law; Binding Arbitration of All Disputes; No Class Relief

We will make every reasonable effort to informally resolve any complaints, disputes, or disagreements that you may have with us. If those efforts fail, you agree that, as described in the Governing Law, Arbitration, Venue, and Class Action Waiver section of the Goodles Terms of Use, which is expressly incorporated into these Clubhouse Terms by reference, any claims you may have arising out of or relating in any way to The Clubhouse, Club Points, Missions, Submissions, your Clubhouse account, or these Clubhouse Terms will be resolved on an individual basis by binding arbitration administered by JAMS, except as otherwise provided in the Goodles Terms of Use.

WITHOUT LIMITING THE FOREGOING, THIS MEANS THAT, EXCEPT WHERE PROHIBITED BY APPLICABLE LAW, YOU WILL NOT HAVE THE RIGHT TO PURSUE A CLAIM IN COURT, OR HAVE A JURY DECIDE THE CLAIM, AND YOU WAIVE ANY RIGHT TO BRING OR PARTICIPATE IN ANY CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, REPRESENTATIVE ACTION, OR SIMILAR PROCEEDING IN COURT OR IN ARBITRATION TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW. You also have the right to bring qualifying claims in small claims court, as described in the Goodles Terms of Use.

As a condition of participating in The Clubhouse, you agree that any and all disputes, claims, and causes of action arising out of or connected with The Clubhouse, Club Points, Missions, Submissions, your Clubhouse account, or these Clubhouse Terms shall be resolved individually, without resort to any form of class, collective, private attorney general, representative, or consolidated action, except where prohibited by applicable law.

General Terms

If any provision of these Clubhouse Terms is found invalid or unenforceable, the remaining provisions will remain in effect. Our failure to enforce any provision is not a waiver. Headings are for convenience only and do not affect interpretation. “Including” means “including without limitation.” These Clubhouse Terms, together with any terms incorporated by reference or additional terms provided with particular Clubhouse features, constitute the entire agreement between you and Goodles regarding The Clubhouse. In the event of any inconsistency between these Clubhouse Terms and statements in advertising, FAQs, or other Clubhouse materials, these Clubhouse Terms control unless the other materials expressly state otherwise.

Questions; Leaving The Clubhouse

If you have questions about The Clubhouse, your account, Club Points, Missions, or these Clubhouse Terms, please contact Goodles customer support at clubhouse@goodles.com. You may stop participating in The Clubhouse at any time. If you request account closure or deletion, or if your account is otherwise closed, suspended, or terminated, any Club Points, badges, levels, or other participation signals associated with your account may be void, subject to applicable law and the Goodles Privacy Policy.
